AMIGOWEB / Terms

Terms of Service

Effective October 26, 2026

These terms explain how AmigoWeb’s initial design offer, project proposals, development, and hosting services work. Please read them before requesting services.

1. Scope and project agreements

These terms apply to service requests and services you agree to obtain from AmigoWeb. You must be legally able to enter an agreement and authorized to act for any business you represent. Sending an inquiry or registration is a request for evaluation; it does not order paid services or guarantee acceptance of a project.

Before paid work begins, a written proposal or service agreement must identify the contracting parties, deliverables, phases, price, payment schedule, and relevant service terms. You must expressly accept it. Specific provisions of an accepted written agreement control over conflicting general provisions here. Mandatory legal rights always apply.

2. What the free initial design includes

After evaluating your requirements, we may offer an initial design at no charge within a defined scope. Work begins once the initial proposal is accepted. We may decline requests that are unsuitable, unlawful, outside our capabilities, or beyond our availability.

“Website design,” “functional design,” and “preview” refer to an initial design or prototype, not a promise to deliver the complete finished project for free. It may contain sample content, selected working interactions, simulated features, or incomplete integrations. It may not include every page, backend workflow, payment system, user account, migration, security review, accessibility remediation, or production configuration your final project needs.

The initial proposal defines what will be demonstrated and any revision allowance. There are no unlimited free revisions or an obligation to implement every feature mentioned in an inquiry. Additional work requires a separately agreed scope.

No credit card or payment is required for the agreed free initial design. You may decline further services without a fee for that design. A preview is for evaluation only: it is not a production service, has no uptime or retention commitment, and may be removed after a reasonable evaluation period communicated to you. Do not use it for real transactions or submit sensitive or live customer data.

3. Completing the project in phases

A finished project may require several development phases after the initial design. Each paid phase must have an agreed scope, fees, dependencies, and acceptance criteria before it starts. Approval of a preview does not mean unfinished features are complete or that the entire project is ready to launch.

You will have an opportunity to review the deliverables for each agreed phase and identify issues against its scope. Launch occurs after the applicable agreed work and checks are complete, you authorize deployment, and required payments have been made. Features outside that phase, later enhancements, and ongoing support are separate unless expressly included.

4. Prices, installments, and third-party costs

Prices, timelines, and sample businesses on our marketing pages are illustrative, not a universal offer or a guarantee of results. The hypothetical 12 payments of $19 USD mean one payment each month for 12 months, totaling $228 USD for that example’s stated scope. Your proposal may differ.

Your accepted proposal will state the currency, total price, applicable taxes, due dates, any recurring charges, and whether payments are installments of a project price or a recurring service subscription. For the advertised design-first flow, the first payment is due only after you choose to proceed with paid work or launch under that proposal. Later phases may have their own milestones agreed in advance.

Domain registration, renewals, premium assets, third-party subscriptions, payment-processing fees, and other external costs are included only if expressly stated. Ongoing hosting or support after a quoted period requires separately disclosed terms. We will not add paid scope or materially change an accepted phase’s price without your agreement.

5. Timelines, revisions, and client responsibilities

Delivery dates are estimates unless a written agreement expressly commits to a deadline. Estimates depend on timely feedback, complete requirements, content, access, and third-party availability. Delays in these inputs or changes in scope may change the schedule; we will communicate material changes.

You are responsible for providing accurate information, licensed content, lawful instructions, and timely approvals. Review names, prices, contact details, translations, and other business content before publication. You remain responsible for your business operations, customer obligations, and legal requirements, including any necessary privacy notices, consents, and industry-specific requirements.

Revisions within scope follow the proposal’s allowance. New features, substantial redesigns, integrations, or changes after approval may require a change order with revised costs and timing. You may decline additional work before it is authorized.

6. Content, intellectual property, and delivery

You retain your rights in materials you supply and grant us permission to use them only as needed to evaluate, develop, host, and support your project. You represent that you have the necessary rights and permissions.

Unless an accepted written agreement states otherwise, AmigoWeb retains ownership of its designs, code, reusable components, tools, and know-how. Once you have paid all amounts due for an agreed deliverable, you receive a non-exclusive license to use that deliverable for your business as specified in the proposal. A free preview grants evaluation permission only. Payment alone does not transfer copyright, source code, repositories, or ownership of the underlying platform.

Any ownership transfer, source-code handoff, export, migration assistance, or right to self-host must be expressly stated in the project agreement, including any fees and technical limits. Third-party and open-source components remain subject to their own licenses. We will obtain your permission before publicly presenting your project as a portfolio example.

7. Hosting, domains, security, and support

Hosting, maintenance, backups, updates, response times, and support are included only to the extent specified in your agreement. No continuous availability, specific search ranking, lead volume, sales, or other business outcome is guaranteed. No internet service can be guaranteed completely secure or error-free.

Development subdomains and preview links may be temporary. Publishing to a customer domain depends on domain access, DNS, certificates, and third-party propagation. Domain ownership and renewal responsibilities must be identified in the proposal; a preview subdomain does not grant ownership of that subdomain or our hosting infrastructure.

Keep credentials confidential and provide access through agreed secure methods. Do not submit passwords, payment-card details, health information, or other sensitive data through our public inquiry forms. Requirements for handling regulated or sensitive customer data must be discussed and agreed before development. You should retain copies of your original business materials; backup and restoration services must be expressly scoped.

8. Cancellation, refunds, and suspension

You may stop after evaluating the free initial design without purchasing further services. Once paid work or an installment plan is accepted, cancellation, payment for completed or committed work, refunds, and remaining installment obligations follow the accepted agreement and applicable law. There is no blanket “all payments are nonrefundable” rule in these terms, and mandatory cancellation or refund rights are preserved.

We may suspend affected paid services for overdue undisputed payments, a material breach, unlawful use, or a security threat. Where practical, we will give notice and a reasonable opportunity to resolve the issue; urgent threats or legal requirements may require immediate action. Suspension does not authorize new fees outside the agreement.

If a project ends, content return, exports, access, and any retention or deletion period will follow the agreement and applicable law. Arrange an export before hosting ends; indefinite storage or free migration is not included unless agreed. If we cannot complete agreed paid work, we will discuss an appropriate remedy, including any refund required by the agreement or law.

9. Lawful use and third-party services

Do not use our services for unlawful content, infringement, fraud, spam, malware, harassment, unauthorized access, or interference with other projects. We may refuse or remove material reasonably believed to violate these requirements, subject to applicable law.

External providers control their own platforms, availability, policies, and pricing. Their changes may affect integrations or require additional work. We are not responsible for failures outside our reasonable control, but this does not remove any responsibility we have under an express agreement or mandatory law.

10. Confidentiality and personal information

Each party should use nonpublic project information disclosed by the other only for the project and share it only with people or service providers who need it for that purpose, subject to appropriate confidentiality obligations. This does not cover information already public, independently developed, lawfully obtained elsewhere, or required to be disclosed by law.

Our Privacy page explains how we use inquiry and registration information. A project involving personal data may require additional data-processing and security terms before launch. These general terms do not promise a regulated-data service or replace those project-specific arrangements.

11. Warranties and limits of liability

To the extent permitted by applicable law and subject to any express project warranties, previews and services are provided on an “as is” and “as available” basis. We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent those warranties may lawfully be disclaimed.

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, or consequential losses, including lost profits, business opportunities, or data. AmigoWeb’s aggregate liability arising from the affected services is limited to the fees paid or payable to AmigoWeb for those services during the 12 months preceding the event giving rise to the claim, unless a project agreement provides a different lawful limit.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or any liability or remedy that applicable law does not allow to be excluded or limited. They do not waive mandatory consumer protections or remedies for services that must meet legally required standards.

12. Claims involving client-supplied materials

To the extent permitted by law, you agree to reimburse AmigoWeb for reasonable third-party damages and defense costs finally awarded or settled with your consent that arise from your unlawful use of the services or materials you supplied without necessary rights. This does not cover claims caused by AmigoWeb’s own breach, negligence, or misconduct.

We must promptly notify you of the claim, reasonably cooperate, and allow you a reasonable role in its defense. Neither party may agree to a settlement imposing obligations on the other without that party’s written consent.

13. Questions, disputes, and applicable rights

Please contact us first so we can try to resolve a concern in good faith. This does not delay a legally required deadline or prevent either party from using a remedy available under applicable law.

Any agreed governing law and venue should be identified in your project agreement, subject to mandatory rights. These general terms do not impose mandatory arbitration, waive class actions, or remove access to a court or consumer authority where the law provides it. English and Spanish pages are intended to have the same meaning; please report any discrepancy before accepting a proposal.

14. Changes and general provisions

We may update these public terms for future requests and agreements, showing a new effective date. Changes do not retroactively alter an accepted project agreement; material changes to an existing engagement require agreement or any notice and acceptance required by law.

If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision does not waive it. Nothing here creates an employment, partnership, or agency relationship. Project-specific commitments must be confirmed in writing by authorized representatives.
